For IPOs, delinquent filers, and loss corporations, the Q3 staleness date is 45 days after fiscal year-end instead of the dates above.
Timely-filer gap accommodation: when a company's financials go stale before its next periodic report is due, the SEC will still permit a registration statement to go effective during that gap, provided the company has timely filed all Exchange Act reports over the prior 12 months.
Late-filer accommodation: filing a Form 12b-25 by 5:30 PM ET the business day after the original due date buys a 5-day extension for a 10-Q, or 15 days for a 10-K/11-K.

Types of Filers

EDGAR accepts filings 6:00 AM–10:00 PM ET on business days. Most filings need to be in by 5:30 PM ET for same-day filing credit; Section 16 forms (3/4/5), Form 144, Schedule 14N, Rule 462(b), and Schedules 13D/13G get same-day credit up to 10:00 PM ET. The SEC is closed (no EDGAR filings) on Veterans Day and Columbus Day even though the exchanges trade; conversely the SEC is open on Good Friday, when the exchanges are closed.
